It's NOT official just yet:

"It is anticipated to close this summer, subject to Sun stockholder
approval, certain regulatory approvals and customary closing
conditions."
This is always the case for publically traded companies.
I don't see much likelihood the deal will get killed by any of that but
it does always take some time for this to occur. There's always the
possibility of a hostile takeover by someone else just in self defense.
Also there is the possibility the Justice Department will require them
to spin off any product they are in competition with already. (e.g.
MySQL). With the DB market share Oracle already has I'd like to think
the current Justice Department will force that.
