For NAT on Win boxes, there are several software options. I've used Sygate
by Sybergen in a business environment. For under $50 you can get a 5 user
liscense. It works alright, but ultimately I replaced it with Linux running
IPChains

That will not work. He has the *WinModem* on Box1 and therefore is running
Win2000 (as stated). Last, I checked WinX can't run IPCHAINS. I have little
experience with Win2000 so I don't know that it can do packet forwarding or
NAT
without (expensive) additional software.
Your best solution is to spend 50 bucks and buy a real modem, then switch
the
roles. Allow the Linux box to provide a secure gateway to the Net.
