What happens when you do a shutdown -h instead of a shutdown -r?
Does it completely shut down? If not, start killing services... Stop
initializing serial ports/pcmcia and then see if it still hangs. Try
disabling the serial/infared ports in bios, then try the same with your
pcmcia slots and see if you still hang.
Hopefully by then you can find the offending driver that is causing the
hang.
With any decent luck, you can just skip the shutdown process of that device
if there are no software fixes out to date. (/etc/rc.d/rc2.d has the
Start/Kill scripts for text bootup)
